Executive summary/Whakarāpopototanga
Far North and Kaipara district councils have been consulting in their respective Long Term Plans 2021-2031 consultations on the matter of becoming a shareholder in Northland Inc. and financially contributing to the Investment and Growth Reserve (IGR). While council deliberations on these consultation matters have yet to take place, it is considered prudent to develop the necessary documentation so that the transition to joint ownership of Northland Inc. and the other matters associated with the joint delivery of regional economic development services between the councils can occur as quickly as possible following the adoption of the Long Term Plans (assuming a positive deliberation decision is made). There are four relevant documents to be considered.
1. Constitution of Northland Inc. Limited
2. Criteria and procedures for the allocation of funding from the IGR
3. Terms of Reference for the Joint Regional Economic Development Committee
4. Shareholders Agreement for Northland Inc. Limited
The first two documents already exist. Staff have reviewed the constitution of Northland Inc. and do not consider that any changes need to be made at this stage apart from increasing the number of shares from 100 to 120 (Attachment One). Northland Regional Council has adopted a criterion and procedure for the allocation of funding from the Investment and Growth Reserve (IGR). This will need to be changed to reflect the new joint council delivery arrangements. Suggested changes are shown in Attachment Two.
The second two documents will be new. An initial draft terms of reference for a new council joint committee has been prepared (Attachment Three). Given the details associated with drafting a shareholder agreement, an initial term sheet for the agreement has been prepared by lawyers. Some initial changes/responses have been made by NRC staff (Attachment Four). Based on the agreed term sheet, a shareholder agreement will be drafted.
The following table sets out the approvals required for the four documents. It is proposed that the council decisions be made at the same meetings at which the respective councils’ Long Term Plan 2021-2031 are approved. This will enable the move to joint ownership to be effective 1 July 2021.

Executive summary/Whakarāpopototanga
One of the important issues concerning Northland Inc. is how to improve the regional reach of the economic development services it provides across Te Taitokerau Northland. This issue was highlighted in the Local Government Act 2002 section 17A review of regional economic development services in Northland undertaken in 2017.
In response to the s17A review, Northland Inc. commissioned MartinJenkins, a private consultancy firm with considerable experience in local government economic development, to prepare a report on the issue of regional reach which was completed in June 2020 (Attachment 1). As this issue has been raised during discussion at the previous two meetings of the Working Party, and as the Working Party considers the draft Northland Inc. Limited Statement of Intent 2021-2024, staff consider that a discussion on this latest report prepared by MartinJenkins would be timely.
This paper was originally tabled for discussed at the meeting of the Working Party on 8 March 2021. However, it was agreed at that meeting to delay discussion on the report to a further meeting when a representative of Northland Inc. could attend.
Sarah Petersen from Northland Inc. will attend this Working Party meeting to discuss the report, and the actions that have been taken by Northland Inc. since the report was completed to extend their regional reach.
